Adam Minchew focuses his practice on high-stakes business disputes, complex litigation, and white collar investigations.

Prior to joining Hueston Hennigan, Mr. Minchew was an associate at Cravath, Swaine & Moore LLP, where he represented clients in many states of commercial litigation. He also participated in researching and drafting three pro bono amicus briefs to the United States Supreme Court.

During law school, Mr. Minchew was a legal extern for the for the United States Attorney’s Office for the Eastern District of New York and a judicial intern for the Hon. Denny Chin for the U.S. Court of Appeals for the Second Circuit. He served as the managing editor for Fordham Law Review, was a research assistant to Associate Dean and Professor Nestor Davidson, and a teaching assistant to Professor Marc Arkin.

Experience

Prevailed at the U.S. Court of Appeals for the Ninth Circuit for Shopify Inc. in a published decision, on a matter of first impression, limiting the reach of personal jurisdiction for internet companies. (See “In ‘Novel’ Jurisdiction Issue, 9th Circuit Limits Where Consumers Can Sue E-Commerce Payment Platforms,” The Recorder).

Representing a global asset management firm in sprawling, multi-million -dollar litigation against a former officer and director that spans multiple state and federal fora.

Representing Shopify Inc. in multiple class action lawsuits arising out of a data breach.

Defending Amazon.com and Twitch against multiple lawsuits arising out of the tragic May 2022 mass shooting at a grocery store in Buffalo, NY. Plaintiffs claim that Amazon.com, Twitch, and other social media services incentivized the shooter to commit his horrific crimes by, among other things, providing him with the ability to livestream his attack. Plaintiffs’ claims, which include product liability, negligence, and other torts, raise significant issues relating to the First Amendment and the scope of immunity for social media services under Section 230 of the Communications Decency Act.

Representing Epic Games in cases across multiple jurisdictions claiming that the company intentionally designed its games to addict players. (See “Activision, Epic, Video Game Developers Face Addiction Suit,” Bloomberg Law).

Represented a Fortune 500 oil and natural gas operator in litigation in the Delaware Court of Chancery arising out of a failed merger agreement, which resulted in a favorable judgment in excess of $600 million.

Advised a Fortune 500 pharmaceutical company on its contractual rights and obligations during a period of substantial transition.

Secured a sweeping victory for Joe Kiani, Founder and CEO of Masimo Corp., a global technology company, in a highly publicized activist shareholder suit challenging Kiani’s employment agreement. Plaintiffs asserted claims for breach of fiduciary duty and sought to invalidate key provisions of the agreement, which they alleged to have been worth more than $1 billion. With trial approaching, plaintiffs voluntarily dismissed all claims.

Represented a large accounting firm as a non-party in litigation involving the firm’s current and former clients.

Represented a group of historians as amici curiae to the U.S. Supreme Court in Trump v. New York.

Represented the Brennan Center for Justice as amicus curiae to the U.S. Supreme Court in Brnovich v. Democratic National Committee.
